Agreement to Terms

By accessing or using the services provided by Framework Studios LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

Services

Framework Studios LLC provides web design, web development, web hosting, application development, and related digital services. The specific scope of services will be outlined in individual project agreements or proposals.

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice to affected clients.

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information as needed for project completion
• Respond to requests for feedback, approvals, and content in a timely manner
• Ensure you have the rights to any content, images, or materials you provide
• Make payments according to the agreed-upon schedule
• Use our services only for lawful purposes
• Not engage in activities that could harm our systems, services, or reputation

Project Agreements

Individual projects will be governed by separate proposals or contracts that outline:

• Scope of work and deliverables
• Timeline and milestones
• Pricing and payment terms
• Revision policies
• Project-specific terms and conditions

In the event of a conflict between these Terms and a project agreement, the project agreement shall prevail for that specific project.

Payment Terms

Unless otherwise specified in a project agreement:

• A deposit may be required before work begins
• Invoices are due within 14 days of receipt
• Late payments may incur additional fees or interest
• We reserve the right to suspend services for overdue accounts
• All fees are non-refundable unless otherwise stated

Intellectual Property

Our Intellectual Property

We retain ownership of all proprietary tools, code libraries, frameworks, and methodologies developed independently of client projects. We may use general knowledge and experience gained during projects for future work.

Client Intellectual Property

Upon full payment, clients receive ownership or license to the deliverables as specified in the project agreement. This typically includes custom designs, code, and content created specifically for the client's project.

Third-Party Materials

Projects may incorporate third-party software, fonts, images, or other materials subject to their own licenses. We will inform you of any such materials and their licensing requirements.

Hosting Services

For clients using our hosting services:

• We will use reasonable efforts to maintain uptime but do not guarantee uninterrupted service
• You are responsible for maintaining backups of your content
• We may suspend hosting for violations of these Terms or non-payment
• You must not use hosting for illegal content, spam, or malicious activities
• Resource usage must remain within reasonable limits

Confidentiality

We will maintain the confidentiality of any proprietary or sensitive information you share with us during our engagement. This includes business strategies, technical specifications, and unpublished content. This obligation does not apply to information that is publicly available or independently developed.

Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims related to our services shall not exceed the fees paid for the specific service giving rise to the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not responsible for delays or failures caused by circumstances beyond our reasonable control
• We do not guarantee specific business results from our services

Indemnification

You agree to indemnify and hold harmless Framework Studios LLC, its owners, employees, and contractors from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.

Termination

Either party may terminate a project or service engagement:

• With written notice as specified in the project agreement
• Immediately if the other party materially breaches these Terms
• Upon mutual agreement

Upon termination, you remain responsible for payment for all work completed. We will provide reasonable assistance in transitioning services upon request.

Dispute Resolution

Any disputes arising from these Terms or our services shall first be addressed through good-faith negotiation. If resolution cannot be reached, disputes will be resolved through binding arbitration or in the courts of the state where Framework Studios LLC is registered, at our discretion.

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms. We will make reasonable efforts to notify active clients of significant changes.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
